TOS- Vtuber Model

By entering into a VTuber model commission with Nemmori, hereinafter referred to as the "Artist," the "Client" agrees to the terms and conditions outlined below for the commissioned VTuber model.

1.1. The commission includes the creation of a VTuber model, which may fall under one of the following workflows:

Case A: The Artist will design the concept, create sketches, lineart, and render the final model.

Case B: The Artist will work from a pre-existing design provided by the Client, creating sketches, lineart, and rendering the final model.

1.2. The artistic process will involve the following stages:

Rendering (coloring, shading, and final touches)

1.3. The Artist will provide Work-in-Progress (WIP) updates at each stage for the Client's review and feedback. The minimum guaranteed WIPs are as follows:

Any additional WIPs beyond the minimum are dependent on the Artist's availability and well-being. The Client is not entitled to more than the minimum promised WIPs.

1.4. An estimated timeline for completion will be provided upon agreement, though delays may occur due to unforeseen circumstances (see Section 6).

2.1. The Client is entitled to provide feedback and request revisions at specific stages of the process. Revisions, corrections, and fixes fall under the same meaning.

Sketch Phase: The Client may request up to 3 major revisions (e.g., changes to the design, pose, or core elements).

Lineart and Render Phases: Only minor revisions are permissible, such as adjustments to colors, hue, saturation, or effects.

2.2. Once the detailed sketch is approved by the Client, no further major revisions will be accommodated.

2.3. The model will have one final revision before merging the layers. This is the Client's final opportunity to review the model and request minor fixes.

At this stage, any fixes that could have been addressed during the sketch phase will not be considered.

If a genuine mistake in the artwork becomes evident during the final revision, the Artist will fix it. This applies only to actual mistakes and not personal preferences.

2.4. If the Client requests revisions beyond the agreed scope, additional fees may apply, subject to the Artist's discretion.

3.1. All transactions related to the commission will be managed through the VGen platform. The Client agrees to adhere to the payment terms and methods specified by VGen.

3.2. Once at least 50% of the lineart stage is completed, the commission becomes non-refundable.

Any payments already made are non-refundable.

Unpaid installments must be completed for the commission to progress beyond the corresponding paid stage.

Late payments may result in a pause or cancellation of the commission, at the Artist's discretion.

3.4. Failure to complete payment installments within 30 days of the due date may result in cancellation of the commission, and any completed work up to that point will remain the property of the Artist.

The Artist retains full copyright and ownership of all work produced during the commission process, including but not limited to sketches, lineart, and the final rendered model.

The Client is granted personal and commercial usage rights for the final rendered model. Commercial usage includes:

Streaming and content creation (e.g., YouTube, Twitch).

Using the model for virtual appearances or events.

Under no circumstances may the Client reproduce, modify, distribute, or utilize any intermediate work (e.g., sketches or lineart) without the Artist's explicit written consent.

4.2. Case B (Pre-Existing Design Provided by Client):

The Client retains full copyright and ownership of the pre-existing design and the final rendered model.

The Artist retains no copyright or ownership rights to the final model or any intermediate work (e.g., sketches, lineart).

The Artist may display the final model in their portfolio or for promotional purposes only with the Client's explicit written consent.

Any use of intermediate work or forwarding such work to third parties, including other artists, for redesign or reproduction, is strictly prohibited and constitutes a breach of this agreement.

5.1. The Client may cancel the commission only before at least 50% of the lineart stage is completed. In such cases:

Any payments made will be refunded, minus a fee for work completed up to the cancellation date.

5.2. If the Artist cancels the commission due to unforeseen circumstances (e.g., illness, technical issues), the Client will receive a full refund of any payments made.

5.3. If the Client cancels the commission after at least 50% of the lineart stage is completed, no refunds will be issued, and the Artist retains all rights to the completed work.

6.1. The Artist is not liable for delays in completion caused by unforeseen circumstances, including but not limited to illness, technical issues, or natural disasters.

6.2. In the event of a delay, the Artist will communicate with the Client and provide an updated timeline for completion.

6.3. If the delay exceeds 30 days, the Client may request a partial or full refund, subject to the Artist's discretion and the work completed up to that point.

7.1. Any disputes arising from this agreement will be resolved through mutual discussion and negotiation.

Illustration

By entering into an illustration commission with Nemmori, hereinafter referred to as the "Artist," the "Client" agrees to the terms and conditions outlined below for the commissioned artwork.

1.1. The commission includes the creation of an illustration based on the Client's request. The artistic process will involve the following stages:

1.2. The Artist will provide updates at each stage for the Client's review and feedback.

1.3. An estimated timeline for completion will be provided upon agreement, though delays may occur due to unforeseen circumstances (see Section 6).

2.1. The Client is entitled to provide feedback and request revisions at specific stages of the process:

Major revisions (e.g., changes to the composition, pose, or core elements) are permissible only during the sketch phase.

Minor revisions (e.g., adjustments to colors, lighting, or small details) are permissible during the lineart and rendering phases.

2.3. If the Client requests revisions beyond the agreed scope, additional fees may apply, subject to the Artist's discretion.

4.1. The Artist retains full copyright and ownership of all work produced during the commission process, including but not limited to sketches, lineart, and the final rendered illustration.

4.2. The Client is granted personal usage rights for the final illustration. Personal usage includes:

Displaying the illustration on personal social media profiles (with credit to the Artist).

Printing the illustration for personal use (e.g., home decoration).

Using the illustration as a profile picture or avatar.

4.3. Commercial usage rights are not included by default. If the Client wishes to use the illustration for commercial purposes (e.g., merchandise, advertising, or promotional materials), they must purchase commercial rights for an additional 40% of the total commission fee.

4.4. Under no circumstances may the Client reproduce, modify, distribute, or utilize any intermediate work (e.g., sketches or lineart) without the Artist's explicit written consent.

4.5. The Artist reserves the right to reproduce, display, and use the commissioned illustration for promotional purposes, portfolio presentation, and other professional showcases.

7.2. If a resolution cannot be reached, the dispute will be settled through mediation or arbitration in accordance with the laws of Germany.

8.1. This agreement shall be governed by and construed in accordance with the laws of Germany.

8.2. Any legal proceedings related to this agreement shall be conducted in the courts of Germany.

By proceeding with this commission, both parties acknowledge and accept the terms and conditions outlined above.

Reveal Chart

1.1. The commission includes the creation of a model reveal graphic based on the Client's request. The design process will proceed as follows:

If the Client provides specific instructions, the Artist will abide by those instructions to create the graphic.

If the Client does not provide specific instructions, the Artist will design the graphic freestyle, using their creative interpretation of the model's appearance and theme.

Final rendering (coloring, shading, and final touches)

1.3. The Artist will provide updates at each stage for the Client's review and feedback.

1.4. An estimated timeline for completion will be provided upon agreement, though delays may occur due to unforeseen circumstances (see Section 5).

Major revisions (e.g., changes to the layout, composition, or core elements) are permissible only during the concept design and draft layout phases.

Minor revisions (e.g., adjustments to colors, lighting, or small details) are permissible during the final rendering phase.

2.2. Once the draft layout is approved by the Client, no further major revisions will be accommodated.

3.2. The total commission fee is non-refundable once the payment is made. This includes cancellations at any stage of the process.

4.1. The Artist retains full copyright and ownership of all work produced during the commission process, including but not limited to concept designs, draft layouts, and the final rendered graphic.

4.2. The Client is granted commercial usage rights for the final graphic. Commercial usage includes:

Using the graphic for promotional purposes (e.g., social media, advertisements, streaming).

Displaying the graphic during model reveals or virtual events.

Printing and distributing the graphic (e.g., posters, merchandise).

4.3. Under no circumstances may the Client reproduce, modify, distribute, or utilize any intermediate work (e.g., concept designs or draft layouts) without the Artist's explicit written consent.

4.4. The Artist reserves the right to reproduce, display, and use the commissioned graphic for promotional purposes, portfolio presentation, and other professional showcases.

5.1. The Artist is not liable for delays in completion caused by unforeseen circumstances, including but not limited to illness, technical issues, or natural disasters.

PNG-Tuber Plus Model 

PNG-Tuber Plus + Rig Commission Agreement

By entering into a PNG-Tuber Plus + Rig commission with Nemmori, hereinafter referred to as the "Artist," the "Client" agrees to the terms and conditions outlined below.

Rigging the model for basic animations (e.g., blinking, mouth movements)

Option A: Providing their own pre-existing design (no additional cost)

Option B: Having the Artist create a custom design for an additional fee of 30€

1.4. The Artist will provide Work-in-Progress (WIP) updates:

Additional WIPs may be provided at the Artist's discretion

Character reference sheets, PSD for rigging, mood boards, sample of poses / angles / expressions, any other relevant files or links.

Pose, traits, multiple characters, add-ons, etc.

This commission entails a fully rendered illustration by your request (Portrait; Bust;Half- or Fullybody)

It comes with a full and simple  background incl. lighting and effects.  Complex Backgrounds like Interior or exterior Architecture is additionally charged.

Each additional character is charged $40 extra.
